I. Opening Items

A. Call the Meeting to Order

Ian Connell called a meeting of the Finance Committee of Navigator Schools to order on Monday Mar 2, 2026 at 6:03 PM.

B. Record Attendance and Guests

C. Approve Minutes from Prior Meeting

Anthony Di Vittorio made a motion to approve the minutes from Finance Committee Meeting on 12-01-25.

Ian Connell seconded the motion.

The committee VOTED unanimously to approve the motion.

D. Committee Chair Update

Ian Connell, Committee Chair, passed on updates and yielded his time to the Committee.

E. Opening Comments from Chief Financial & Operating Officer

Noël Russell-Unterburger, Chief Financial & Operating Officer, provided an overview of the items on the agenda including the Financial Dashboard.

F. Public Comments

There were no public comments.

II. Business and Finance

A. Financial Dashboard

Noël Russell-Unterburger, Chief Financial & Operating Officer, presented the Financial Dashboard as part of her opening comments.

B. Second Interim Financials

Ian Connell made a motion to receive the Second Interim Financials as presented.

Anthony Di Vittorio seconded the motion.

Roger Castillo, Charter Impact, presented the Second Interim Financials, year‑to‑date through January 2026.

The committee VOTED unanimously to approve the motion.

C. Draft Budget – Orange County Prep

Ian Connell made a motion to approve the draft budget.

Rosie Arroyo seconded the motion.

The committee VOTED unanimously to approve the motion.

D. Segregation of Duties Policy

Ian Connell made a motion to recommend approval of the Segregation of Duties Policy to the full Board.

Rosie Arroyo seconded the motion.

Noël Russell-Unterburger, Chief Financial & Operating Officer, presented the Segregation of Duties Policy.

The committee VOTED unanimously to approve the motion.

E. Vendor Policy

Ian Connell made a motion to recommend approval of the Vendor Policy to the full Board.

Rosie Arroyo seconded the motion.

Noël Russell-Unterburger, Chief Financial & Operating Officer, presented the Vendor Policy.

The committee VOTED unanimously to approve the motion.

III. Closing Items

A. Adjourn Meeting

There being no further business to be transacted, and upon motion duly made, seconded and approved, the meeting was adjourned at 7:29 PM.
