Protocols for the conduct of committees was discussed and procedures
were drafted. Consensus was obtained for presentation of the proposed
protocols to the Board.

Board Recruiting
Members of the Governance Committee are reachng out in an attempt to recruit
new Board members. L.Timoney indcated she may have a potential new Board
member who will attend next Board meeting. Goal is to try to add two new Board

There being no further business to be transacted, and upon motion duly made, seconded and approved, the meeting was adjourned at 9:30 AM.

consistent with the charter and with financial COI attestation. Also discussed was the
necessity of having two separate attestations, one concerning finances and a separate
annual attestation concerning general conflicts of interest. A consensus was reached
that it is not unduly burdensome to have separtate documents which consensus wil be
presented to the Board.
