Call the Meeting to Order

R. Gibbs called a meeting of the board of directors of KIPP Memphis Public Schools to order on Thursday Apr 28, 2022 at 4:05 PM.

Approve Minutes

L. Sweet made a motion to approve the minutes from Kipp Memphis Board of Directors Meeting on 02-24-22.
C. Green seconded the motion.
The board VOTED unanimously to approve the motion.

II. Public Comment

A.

III. Academic Excellence

A.

enCase Winter-to-Spring Comparison Data

Chief of Schools Brooks presented the enCase Winter-Spring Comparison Data as follows:

  • KMAE, KMCE:  Target Goal for ELA, Math, and Science
  • KMCM, KMAM:  Target Goal for Reading, Math, Science, and S.S.
  • KMCH:  ELA, Algebra, Geometry, Science, and US History

Staffing Updates:  A staffing chart was presented for KMCE, KMCM, KMAM, and KMCH.

  • Number of signed offer letters and the percent filled

KIPP Forward Bright Spots

  • 12 Seniors have received academic scholarships to Rust College
  • 3 Seniors have received outstanding ASVAB scores that exceed the minimum requirement for all 5 branches of the military

KIPP Forward Actions: College Visits

  • 40 KMCH seniors & 20 KMAM students visited Rust College
  • 50 KMCH seniors visited the University of Arkansas-Pine Bluff for "Lion Fever Day".

IV. Finance

A.

Fiscal Year 2021 External Audit Overview

Finance Committee Chair Sweet presented the following:

  • Review from the Fiscal Year 2021 external audit.  Discussions are underway with external auditors on the timeline and deliverables for the FY 22 audit.  
  • 2022-2023 Initial Budget:  All Schools | KF | SST | KMP)S Consolidated
  • 2022-2023 ESSER Budget
  • 2022-2023 Cash Flow Projection

Committee Meeting Highlights

Facilities Committee Chair presented the following:

  • Facility Spending YTD
  • Henry and Howell Campus Concept Plans
  • Levelfield Project & Timeline Updates
  • Deferred Maintenance ESSER Spending Outline for the Howell and Henry Campus

VI. Governance

A.

Governance Committee Chair presented the following:

Bylaw Amendments to address term limits and succession planning.  The recommendations below will be vetted in the May committee meeting and brought to the board for a vote on June 9, 2022.

  • Proposed Bylaw Amendment
  • Board Succession Planning

KIPP Memphis Board Officer Selection

  • The required positions are board chairman and board secretary.  Chairman Gibbs recommends a Board Vice-chairman.
  • The full slate will be approved by the Governance Committee at the May 17th meeting and brought before the board for a vote on June 9th.

VII. Chief Executive Officer Report

A.

CEO Burt gave an overview of the board presentation.
