In the event Board develops concerns regarding Provider’s services, the Parties agree that:

                              

  1. The Board will convene and vote on whether a Notice of Concern needs to be submitted to Provider;
  2. Upon an affirmative vote, the Board will prepare and submit a Notice of Concern to Provider within seven (7) days of the Board’s vote to submit the Notice of Concern.
  3. Within fourteen (14) days of receipt of the Notice of Concern, Provider will provide a response and action plan (if necessary) to resolve the Notice of Concern.
  4. Within sixty (60) days of submitting the Notice of Concern, but at least thirty (30) days after Provider provides a response and action plan, the Board will convene to vote on whether Provider’s response and action plan is sufficient to resolve the Notice of Concern and will notify Provider of the outcome of that vote.
  5. If Provider’s response and action plan is deemed by a Board vote to be sufficient to resolve the Notice of Concern, no further action is required, provided however, that the Board may revisit the issues raised in the Notice of Concern following the conclusion of the school year following that in which the Board first submitted the Notice of Concern.  
  6. If Provider’s response and action plan is deemed by a Board vote to be insufficient to resolve the Notice of Concern, within fourteen (14) days of receiving notice that the Notice of Concern remains unresolved, Provider will provide a further response and action plan (if necessary) to finally resolve the Notice of Concern.
  7. If the Notice of Concern remains unresolved at the end of the time period described in Paragraph 2e, the Board will convene to vote whether the Notice of Concern in resolved.  If the Board determines the Notice of Concern remains unresolved, the Board may submit to Provider a vote of no confidence in Provider’s services.
  8. Upon passage of a vote of no confidence in Provider’s services and timely notice to Provider, the Board may issue a new RFP for management services.
