BOARD RESOLUTION Approving the Sale of Improvements at San Jose Early College at Cecil WHEREAS, Bold City Education, Inc., as the sole member of San Jose Schools Growth Fund, LLC, has determined that it is in the best interest of the organization to sell the improvements located at 13520 FSCJ Cecil Drive, Jacksonville, Florida, to Florida State College at Jacksonville (FSCJ); and WHEREAS, the purchase price is $9,000,000, and the transaction has received the necessary consent from the bondholder representative and will be completed in accordance with the applicable financing documents; and NOW, THEREFORE, BE IT RESOLVED, that the Board of Directors hereby approves the sale of the improvements to FSCJ, authorizes the termination of the related ground lease and sublease as necessary, and directs that the net sale proceeds be deposited with the Master Trustee in accordance with the bondholder's instructions. BE IT FURTHER RESOLVED, that the Board Chair and/or Chief Executive Officer are authorized to execute all agreements, closing documents, and any other instruments necessary to complete the transaction, with such changes as legal counsel deems appropriate. WHEREAS, the Board of Directors of San Jose Schools Growth Fund, LLC has determined that it is in the best interest of the organization to authorize the reimbursement of certain eligible capital expenditures from the proceeds of a future taxable or tax-exempt financing; and WHEREAS, the reimbursement resolution presented to the Board establishes the organization's official intent to reimburse eligible project costs in accordance with applicable federal tax regulations. NOW, THEREFORE, BE IT RESOLVED that the Board of Directors hereby approves the Reimbursement Resolution dated July 27, 2026, authorizing the organization to reimburse eligible capital expenditures from the proceeds of a future financing, in substantially the form presented to the Board. BE IT FURTHER RESOLVED that the Chief Executive Officer, Board Chair, and such other officers as may be necessary are authorized to execute any documents and take all actions necessary to implement this Resolution. ADOPTED this 27th day of July, 2026. |
