Topics of Discussion

Brian King reported current enrollment is hovering between 160 and 162 students despite some transportation challenges.

• Staffing remains stable with no vacancies, including the recent hire of front office assistant Tim Allen.

• All health, safety, and data security systems are currently trending in the green with no major incidents reported.

Instructional Program and Student Achievement Data

• Classroom observations yielded an average score of 2.8 out of 4 across various grade levels.

• Professional development on Tuesdays and Thursdays now focuses on data analysis, lesson planning, and pedagogical skills.

• Diagnostic testing in August provided baseline data for math, ELA, science, and reading to identify student skill gaps.

Grants and Facility Search Progress

• The school was awarded a $100,000 high dosage tutoring grant from the state, split over two years.

IV. Facility

A.

Update on Facility Search

Brian confirmed the school has transitioned from an LOI to a purchase sale agreement for a potential site but noted the board must vote before any final signatures are applied by him or Vince.

•  A significant discussion occurred regarding procurement for fundraising services:

    •  Potential vendors include Cobalt 21/21 Cobalt, though options remain open to ensure cost-effectiveness and avoid duplicating existing roles held by Candace.

    •  Will the board select a vendor based on scope of services or purely on cost? Is there sufficient overlap between these consultants and the current fractional CFO support?

V. Finance

A.

August/September Financials

•  Regarding future facility debt, Candace cautioned that a $4.5 million loan might result in a debt service coverage ratio below 1x until FY30; she recommended exploring interest-only periods or capitalized interest reserves during construction.

B.

Review & Approval FY26 Audit Report

V. Thomas made a motion to Accept the FY26 Audit as presentes.
M. Mehta seconded the motion.

Candace presented the FY26 Audit, which received an unmodified opinion with no findings. The school ended with a $310,000 fund balance and 45 days of cash on hand.

•  The August finance report showed a net income of $30k and ending cash of $395k. While enrollment is slightly below budget (trending toward 165 vs. 183), favorable state grant allotments provide some cushion.

The board VOTED to approve the motion.

VI. Closing Items

A.

Adjourn Meeting

There being no further business to be transacted, and upon motion duly made, seconded and approved, the meeting was adjourned at 7:00 PM.

Respectfully Submitted,
V. Thomas
