A. Donation to Pharos Academy Charter School

Courtney Russell shared the amounts available in the Bank of America accounts for Bronx Lighthouse Property Holding Company.

The Board had a brief discussion regarding this matter, including auditor approval which has been documented via email.

III. Dissolution of BLCS Property Holding Company

A. Dissolution of BLCS Property Holding Company

A brief discussion regarding the dissolution of the BLCS Property Holding Company ensued.

The Board decided to await further guidance from legal counsel, Orrick, before proceeding.

The Board will meet again on Thursday, June 17 at 6:00 p.m. Courtney Russell will reach out to Orrick to invite the to attend this meeting.

IV. Elections for BLCS Property Holding Company

A. Elections

In the event that the entity is not dissolved, elections will need to be held.

J. Lopez-Molina made a motion to elect Javier Lopez-Molina to serve as the President of the Bronx Property Holding company for a one year term through 06/31/22. elect Robert Granado to serve as the Treasurer of the Bronx Property Holding company for a one year term through 06/31/22. elect Tom Wethington to serve as the Secretary of the Bronx Property Holding company for a one year term through 06/31/22.

R. Granado seconded the motion.

The board VOTED to approve the motion.
