A.

Trustee Recruitment & Pipeline Review

The Governance Committee meeting focused on trustee recruitment and strengthening the board leadership pipeline. The committee began by discussing a recent Massachusetts Supreme Judicial Court decision involving Mystic Valley Charter School related to open meeting law compliance. Rachel provided background on the case, explaining that the court ruled charter schools must comply with open meeting law requirements as public entities. The case prompted a broader discussion about transparency expectations for charter school boards and recent public records requests that Mystic Valley has submitted to other charter schools, including Veritas Prep.

 

The committee then shifted to discussion of board officer succession planning and the long-term leadership pipeline for the Board of Trustees. Rachel noted that while the board currently has strong leadership, there are gaps in the future leadership pipeline, particularly for the Board Chair role once Matt’s term concludes. The committee discussed the importance of identifying and preparing future leaders by moving a trustee into the Vice Chair role during the June officer elections as part of a thoughtful succession plan. Several current trustees were discussed as potential candidates for future leadership roles based on their experience, reliability, and current committee engagement.

 

As part of broader officer planning, the committee also discussed restructuring officer roles for the upcoming June elections. Ann will continue serving as Vice Chair, and the committee discussed the plan for Denise to return to the Treasurer role after completing the required year off from that position. Robbie will step down from the placeholder treasurer position at that time. The group also discussed the overall responsibilities of board officer roles and opportunities to strengthen leadership engagement across those positions.

 

The committee then reviewed the candidacy of prospective trustee Andres Gomez. Rachel shared background on Andres, including his experience as a graduate of a SABIS charter school and his current role as Executive Director of Hospitality for MGM Resorts, where he oversees national operations. Andres was referred to the board through Xiomara and expressed strong interest in the school’s mission. Committee members discussed the potential value of his leadership experience and connections in the hospitality industry, while also considering the travel demands of his national role and the importance of ensuring consistent participation in board meetings. Overall, the committee agreed that Andres would be a strong addition to the board and plans to nominate him for appointment at the March Board meeting.

 

The committee also discussed the possibility of Aaron Mendelson rejoining the board as a voting member after completing the required one-year break in service. Aaron indicated that he would be interested in returning during the June officer elections, which would bring the board to fourteen members, leaving one remaining seat under the bylaws, which allow for up to fifteen trustees.

 

Additional recruitment efforts were also discussed as the committee continues to build a strong board pipeline. Potential candidates were reviewed, including individuals with finance, lending, and accounting backgrounds, which the board has identified as priority skill areas for future trustees and potential Finance Committee leadership. The committee will continue outreach efforts in these areas.

 

Rachel also provided a high-level update on organizational leadership succession planning to ensure long-term stability for the school. The discussion focused on maintaining strong internal leadership capacity and ensuring thoughtful planning for future transitions. The committee agreed that long-term leadership continuity will remain an important governance priority.

 

The meeting concluded with agreement on next steps, including Rachel speaking with Rebecca about potential future board leadership roles, moving forward with the nomination of Andres Gomez at the March Board meeting, preparing for officer elections in June, and continuing recruitment efforts to strengthen the board’s skill set and leadership pipeline.

Due to time constraints, the committee did not reach the planned discussion of FY26 Governance Committee goals and will return to that item at a future meeting.
