Emergency Procurement
Recommendation: It is recommended that the KIPP Memphis Public Schools Board of Directors approve the emergency procurement with Grinder, Taber, & Grinder, Inc. in the amount of $917,572 to acquire HVAC equipment for the KIPP Cordova Collegiate Elementary School property to avoid a $92,578 price increase effective July 30, 2026 if the same equipment is purchased after this date.
Context: Grinder, Taber, & Grinder is the general contractor previously approved by this Board during the February 17, 2026 Special Called Board Meeting following the Construction Management At Risk RFP selection. Their HVAC equipment supplier informed them of a price increase after July 30, which is before the property renovation loan and final construction contract approval by this Board. This is what necessitates this emergency procurement.
Funding Source: The funding source is state/local funds, reimbursed by the, once approved, renovation loan.
The Board discussed the approved general contractor, which notified KIPP Memphis Public Schools of a price increase from their HVAC supplier after July 30, before final loan and contract approval.

2026-27 Adjusted Budget
It is recommended that the KIPP Memphis Board of Directors approve the KIPP Memphis Public Schools 2026-2027 Adjusted Budget
The Board discussed the adjusted budget to account for the emergency procurement. The HVAC equipment will be included in the loan that will be presented to the Board in September.
The agenda was reviewed and there were no changes.
