Current Language: Section 4.2. Duties of Chair of the Board / President. The Chair of the Board / President shall preside at all meetings of the Board of Directors. All officers of the Corporation shall report and be responsible to the Chair of the Board / President. The Chair of the Board/President shall direct the Chief Executive Officer/Executive Director in the management and operations of the business and affairs of the Corporation and perform all of the duties incidental to the office. The President shall perform such other duties as may be determined from time to time by the Board of Directors.
Proposed Language: Section 4.2. Duties of Chair of the Board / President. The Chair of the Board / President shall preside at all meetings of the Board of Directors. The Chair of the Board/President shall direct the Chief Executive Officer/Executive Director in the management and operations of the business and affairs of the Corporation and perform all of the duties incidental to the office. The Board Chair shall ensure that the Board officers establish the CEO’s evaluation metrics for the upcoming school year no later than the first meeting following the winter break. General evaluation metrics serve as benchmarks to assess progress and guide decision-making, ensuring proactive planning and accountability. These metrics will serve as benchmarks to guide the determination of the CEO's bonus for the year, ensuring a clear and consistent process. The Board Chair/President shall perform such other duties as may be determined from time to time by the Board of Directors.
