Call the Meeting to Order

C. Lipscomb called a meeting of the Governance Committee of Breakthrough Public Schools to order on Wednesday Jun 3, 2026 at 8:31 AM.

Approve May Governance Committee Minutes

S. Steinhouse made a motion to approve the minutes from BPS Board Governance Committee Meeting on 05-08-26.
J. Johnson seconded the motion.
The committee VOTED to approve the motion.

II. Governance

Committee Business

We'll need to revisit committee makeup, given the folks rolling off the board. 

 

We walked through the five goals that we set out at the start of the year: 

  1. Strengthen Board Composition and Expertise
  2. Clarify and Uphold Board Member Expectations
  3. Enhance Board Engagement With Senior Staff and Schools
  4. Improve Governance Processes and Committee Operations
  5. Plan and Execute a High-Impact FY26 Board Retreat

These still feel right as we head into next year. 

 

Outcomes FY27 Recruitment & Hiring Process

  • Started with the objective of bringing in a diverse group that would enhance the current makeup of the board. 
  • Reviewed where we landed with new board members and committee members. 
  • 3 new board members & 2 new committee members. 
  • Recommendation to start earlier next year & socializing with the committee and board about what we're looking for. 
  • Are there other orgs in Cleveland that work on board pipelines that we can tap into? 
  • As we add people to committees, encourage them to attend board meetings prior to making a fuller nomination/commitment. 

Attendance Review 

  • We had a 90% benchmark, and we hit it at 3 meetings. Overall, we averaged 88%.
  • Is 90% the right number, given the number of meetings and the total number of board members?
  • Potential solution: Do we adjust throughout the year? We could aim to ask at each prior meeting. A good way to reinforce that we walk folks into the room for all meetings. 
  • For committees: ensure there are roles & responsibilities for agendas and minutes at each meeting. 

Enhance Board Engagement With Senior Staff

  • We didn't make as much progress here this year. It will be a part of the board development work. 
  • One step in the work, we're launching the HR task force. 

Retreat Updates

  • There has been traction on the retreat prep. Interviews & surveys in progress, and we're well prepared. 
  • Agenda development is underway, and we'll share it soon.
