PUBLIC COMMENT AT MEMPHIS MERIT ACADEMY BOARD MEETINGS - An opportunity for the public to address the Board will be provided at the conclusion of the agenda. Members of the public who wish to speak on
any item are requested to identify themselves and indicate on which agenda item they wish to speak. The Board will provide an opportunity for the public to speak for a maximum of three (3) minutes, unless granted
additional time at the discretion of the Board. Testimony shall be limited in content to matters pertaining to Memphis Merit Academy. The Board may not take any action on matters discussed during the public testimony
period that are not listed on the agenda.

Call the Meeting to Order

Talunja Prophet called a meeting of the board of directors of Memphis Merit Academy Charter School to order on Thursday Jun 18, 2026 at 5:35 PM.

Approve Minutes

Minutes from May's meeting will be voted on at the next meeting having a quorum present.

 

II. Review and Approval of Monthly Financials

A.

Approval of Monthly Financials

  • 17.5K revenue increase due to decreased supplies/materials and changes in personnel - extra revenue from aftercare services
  • Projection that line of credit will not to be accessed due to status of current financials
  • Uncategorized expenses resolved
  • 500K CSP funding - funding period begins July 1
  • Projected to end fiscal year with positive operating surplus
  • Ongoing scholar recruitment  
  • Addressing plans to funnel funds back to MMA from MMARE
  • Continuously working on increasing revenue and recruiting new board members

 

MMARE

  • pending total refund of city taxes 
  • working with accounting to make sure that aging balances are up to date
  • entertaining new tenant for church location since their lease is ending - potential clinic is in negotiations - they want a year of no rent in exchange for improvements to the property, countered with three months and approval of the improvements they suggest
  • issue with Atlas co-tenants has been resolved; the co-tenants have moved and Atlas has been current with rent and made improvements to the space
  • all tenants are paying rent and fees on time

III. Approvals

A.

Family Handbook

No significant changes to the policy since last year. Staff updates added. Approval will be tabled and voted on at the next meeting having a quorum present.

B.

Ai Policy Adoption

  • State requires all schools to have a policy in effect by July 1. The current policy is what is used by MSCS.
  • Discussion to review and revise making sure the policy includes all required updates.
  • Need to determine acceptable use, revisions will need to consider what can actually be implemented, with what risks the school is trying to mitigate by having this policy in place.
  • Suggested best approach may be to list prohibited uses versus trying to decipher every scenario that it can be used for.

 

 

C.

Wellness Policy

State requires all schools to have a policy adopted by July 1.

D.

Instructure - Mastery Connect

Contract is time sensitive and will need to be addressed prior to next scheduled board meeting.

 

 

E.

Food Service RFP

Appropriate bid process conducted - process approved by State of TN - process included parents, scholars, and staff participation.

 

In house team is evaluating how each scholar will receive lunch. In addition, to discussions on providing staff with free meals as incentive.

 

Provider offers snacks options that are in compliance with state requirements. 

 

 

 

Because of compliance laws agenda Items B, C, D, and F require immediate action and therefore will not be held up since there is not a quorum at this meeting to vote on them. The other policies requiring a vote will be tabled until the next meeting having a quorum present.

IV. Committee Reports

A.

Academic Achievement Committee

  • indicators around letter grade change are pending
  • updated guidance from corrective action plan received 6-18-26 
  • school is already in the process of addressing portions of the action plan - Dr. L. Robinson new staff assisting with middle school has starting work on what is needed to shift the letter grade
  • new deadline 8/5 for completed updates for the corrective action plan - review by 8/21 to provide adjustments needed
  • monitor academic process every 30 days - current structure aligns with board receiving the updates 
  • working with team to determine what is needed to address all issues

B.

Development Committee

Ongoing work with the Capital Campaign and maximizing corporate giving.

 

500K grant helps to significantly support next year's budget.

C.

Finance Committee

  • financials trending in the right direction
  • heading into the new school year in the positive

D.

Governance Committee

  • two potential board members - one resume received, J. McKinney will provide additional candidates' resume for review

V. Other Business

A.

Executive Director Update

  • Bloomberg Foundation 300K - 175/180 students in summer classes - outdoor garden launched - receiving all content area lessons - field trips - scholarship opportunity has allowed for scholars to receive extensive instruction and experiences
  • net operational income on the positive side
  • first parent orientation scheduled for next week - working to back fill seats that are available - finding that scholars are leaving for other schools that have built up their middle school by offering optional programs that are currently unavailable at MMA
  • goal is to make program more robust by offering these optional programs - ie one individual mentioned leaving for a school that has a football team 
  • Staffed at 98% for upcoming school year - competitive salaries offered
  • plumbing issue not fully resolved - plumbing needs to be fixed for the next school year; 43-45K projected cost to have work that will resolve the issue completed - this is required before the school year begins - timeline and quote will be provided so that this can move forward
  • working towards developing an agenda that can support the board in its growth
