Call the Meeting to Order

L. Taylor called a meeting of the board of directors of Cirrus Education Group to order on Tuesday Aug 25, 2026 at 6:03 PM.

Approve Agenda

T. Olagunju made a motion to Approve the amended agenda.
L. Golphin seconded the motion.

During review of the agenda, the Board discussed adding an action item related to the financial impact of the proposed student transportation contract. The CFO confirmed that supporting documentation identifying the affected budget line items was available. The Board voted to amend the agenda to include the additional transportation-related budget action item.   

 

Mr. Tosin moved to approve the agenda as amended to include the additional transportation/budget item. Ms. Golphin seconded the motion. The motion carried.

The board VOTED to approve the motion.

Approve Minutes

S. Kelly made a motion to approve the minutes from CEG - Monthly Board Meeting on 07-28-26.
N. Lewis seconded the motion.
The board VOTED to approve the motion.

II. Board Governance

A.

Renewal of Board Member Terms

R. Finley made a motion to renew board member terms.
T. Olagunju seconded the motion.

The Board reviewed the expiration of member terms and discussed the requirement that terms remain appropriately staggered. Legal counsel recommended addressing the two members whose terms required immediate action and conducting additional review before addressing the remaining terms.

 

A motion was made to renew the terms of Shirlynn Kelly and Nathan Lewis for three years, through June 30, 2029. Following clarification of recusals and voting, counsel confirmed that the vote was sufficient for approval. Mr. Williams confirmed that the updated terms would be submitted accordingly.

The board VOTED to approve the motion.

B.

Governance Training

Upcoming governance training dates were announced:

  • Atlanta: February 9–10, 2027
  • Macon/Middle Georgia: April 13–14, 2027

Because there are no new Board members, current members were advised that they are required to attend the applicable second-day training.

III. Committee Reports

A.

Operations Committee - Action Items

Operations Committee Chair Shirlynn Kelly reported that there were no action items being presented to the full Board from the Operations Committee.

 

Questions were raised regarding discussions of the grievance policy and financial policies during the Operations Committee meeting. Chair Kelly clarified that no grievance policy changes were being presented to the Board for approval. Financial policy matters discussed by the committee were also being held pending further review and consideration through the appropriate committee process.

 

Action: No Board action was taken.

B.

Academic Committee - Action Items

Academic Committee Chair Rhonda Finley reported that the committee had requested more comprehensive academic data and data tracking from school leadership. The committee emphasized the need to review available assessment information across the school's various assessment platforms.

 

Management reported that academic information to be presented would include available Georgia Milestones results in Math, Science, and Social Studies, along with DRC Beacon and MAP data. The information will first be reviewed through the Academic Committee and subsequently shared with the full Board.

 

Action: No Board action was taken.

C.

Finance Committee - Action Items

  • A motion to restore management purchasing authority to the $10,000 level did not receive a second and therefore did not advance.
  • The committee will continue reviewing the school's financial policies before recommending changes.
  • Temporary accounting support through 21 Cobalt, at approximately $9,800, was reviewed and approved by the committee.
  • The committee reviewed the proposed student transportation arrangement and forwarded the transportation matter and associated budget considerations to the full Board.

IV. CEO Report

A.

CEO Report

Mr. Williams provided updates regarding enrollment, academics, grants, athletics, facilities, family engagement, charter renewal, compliance monitoring, and upcoming school initiatives.

Administration reported 520 enrolled students, exceeding the school's funding projection of 511 students.

 

The Board also received updates regarding the school's academic grants, including submission of a $100,000 High-Impact Tutoring grant application and certification for a previously awarded $10,000 academic support grant. Administration reported that the SCSC charter-renewal site visit is scheduled for October 20 at 11:00 a.m.

V. Action Items

A.

Transportation Contract

N. Lewis made a motion to approve the vendor transportation contract pending final approval of any necessary budget amendments.
S. Kelly seconded the motion.

The Board engaged in an extended discussion regarding the proposed transportation contract and the appropriate process for addressing its impact on the approved budget.

 

The proposed contract provides transportation services for two buses over 159 school days at $225 per bus, for a total contract amount of approximately $71,000.

 

Management explained that the overall expenditure budget would not increase and that funding would be reallocated between existing line items. Specifically, management proposed not expending funds designated for staff bonuses and instead using available budget capacity to support student transportation. Board members discussed whether moving funds between approved line items constituted a formal budget amendment and whether additional public hearings or other procedural requirements would apply.

 

Following discussion and consultation with legal counsel, the Board considered approval of the transportation contract pending final approval of any necessary budget amendments.

 

Motion: Nathan Lewis moved to approve the vendor transportation contract pending final approval of any necessary budget amendments.


Second: The motion was seconded. 


Action: The motion carried.

 

Management and the Finance Committee will continue to address any required budget amendment and associated procedural requirements.

 

 

The board VOTED to approve the motion.

School Level Announcements

Management reported no additional announcements.

 

Board Member Finley recommended that the Board continue holding Board retreats as part of its ongoing governance and development work.

VII. Public Comment

A.

Public Comment

Chair Taylor reviewed the Board's public comment procedures. Nisah Brinson confirmed that no individuals had registered for public comment for the meeting.

VIII. Executive Session

A.

Executive Session for Personnel Matters

S. Kelly made a motion to enter into executive session.
R. Finley seconded the motion.

Chair Taylor announced that the Board would enter Executive Session for personnel matters related to the appointment, employment, compensation, hiring, disciplinary action or dismissal, or periodic evaluation or rating of a public officer or employee.

 

At approximately 8:08 p.m., the Board considered a motion to enter Executive Session.

 

 

Following Executive Session, Lisa Golphin moved to return to regular session. Shirlynn Kelly seconded the motion, and the motion carried. 

 

Chair Taylor reported that no action was taken as a result of the Executive Session.

The board VOTED to approve the motion.

IX. Closing Items
