Call the Meeting to Order

T. Bruner called a meeting of the board of directors of Pataula Charter Academy, Inc (Serving Pataula Charter Academy and Spring Creek Charter Academy) to order on Wednesday May 13, 2020 at 6:06 PM.

II. Facilities/Finance

A.

CARES Act - Paycheck Protection Program Board Resolution

Cheryl Weathersby provided the board with an update about the CARES Act Paycheck Protection Program that PCA INC received last month. Cheryl informed the board that May 14th would be the deadline for safe harbor for any business to return this loan without penalty. Rhonda Collins, Board Treasurer stated that new guidance issued from the Small Business Administration stating that any loan less than $2 million would be deemed made in good faith and there would not be any further audits on these funds. Cheryl is requesting that the board ratify their original decision to apply and receive this loan. Pataula Charter Academy and Spring Creek Charter Academy will need the loan of  $1,377,981 to keep all faculty/staff employed, support ongoing operations, and ensure the quality of education delivered to its students. Furthermore, the Board of Directors authorizes the Superintendent to utilize the Paycheck Protection Program funds for approved expenses including payroll, interest on mortgage obligations, and utilities and also begin the process of documenting these expenses to certify for forgiveness of the loan.
R. Collins made a motion to keep the loan money awarded through the CARES Act Paycheck Protection Program.
