Call the Meeting to Order

Cara Stillings-Candal called a meeting of the Governance Committee of City on a Hill Charter Public School to order on Monday Jan 27, 2020 at 4:33 PM.

Approve December 2019 Meeting Minutes

Jeff Jablow made a motion to approve the minutes from the December 2019 Meeting. December 2019 Governance Committee Meeting on 12-10-19.
Cara Stillings-Candal seconded the motion.
The committee VOTED to approve the motion.

II. CoaH Boston Consolidation Amendment

A.

CoaH Boston Consolidation Amendment Discussion

Cara Stillings-Candal, Chair of the Board, introduced the topic of the City on a Hill Circuit Street ("CoaH CS") and City on a Hill Dudley Square ("CoaH DS") application to consolidate into a single charter. She reviewed the events of the January 21, 2020 Board of Trustees Meeting where members voted to delegate responsibility of approval of the amendment request to the Governance Committee.

Stillings-Candal also reminded the Committee that CoaH CS and CoaH DS (collectively "CoaH Boston") are currently considering two options under consolidation:
  1. Continuing to operate in two buildings (58 Circuit Street and 2179 Washington Street) beginning in school year 2020-21;
  2. Or operating in a single building (58 Circuit Street) beginning in school year 2020-21.
Kevin Taylor, Chief Executive Officer, shared that following an invitation to families and staff to share feedback about both plans and a presentation of pros and cons of each option, CoaH Management recommended moving forward with operating in one school beginning in school year 2020-21 and to request a maximum enrollment of 450 students.

Jordan Pina, Deputy Chief of Staff, provided the Committee an overview of the Consolidation Memo, highlighting the major considerations leading to the proposal to consolidate. This considerations included improving academic program quality, achieving financial stability and creating administrative efficiencies.

Committee members probed on the process of choosing to reduce maximum enrollment from 560 (280 at both CoaH CS and CoaH DS) to 450. Taylor and Elizabeth Dignan, Chief Operating Officer, shared that a maximum enrollment of 450 is both a financially viable given the maximum capacity of the renovated Circuit Street campus, and a realistic growth objective for enrollment given historical recruitment, retention and attrition of students.

Vote to Approve CoaH Boston Consolidation Amendment

Cara Stillings-Candal made a motion to approve the City on a Hill Charter Public School Circuit Street and City on a Hill Charter Public SchoolDudley Square Amendment Request to consolidate charters.
Jeff Jablow seconded the motion.
The committee VOTED to approve the motion.
