Board members will be asked to vote on two prospective members of the Board, Ms. Sui-Nae Stroman and Mr. David Aguayo.

Ms. Stroman is a CPA and a tax senior director at RSM US LLP in Madison, specializing in partnerships and S corporations. She is originally from Illinois and moved to Madison as a single mother of two boys over 15 years ago. Ms. Stroman received her B.A. (History) from Michigan State University and B.S. (Accountancy) from Northern Illinois University. She currently sits on the executive board of NABA (National Association of Black Accountants) Milwaukee chapter. 
Ms. Stroman will serve as a member of the Board and of the Finance Committee..

Mr. David A. Aguayo is the Public Policy Manager at Greater Madison Chamber of Commerce. He was born, raised, and educated in Madison. A Badger alumnus, he received his bachelor’s in legal studies and criminal justice. His extensive experience in policy, government, politics, and law stem from his positions across various industries and entrepreneurship. 
 
What started as an internship within the Office of Crime Victim Services in the state Department of Justice, ended as Mr. Aguayo's first paid position within state government. Shortly after graduating UW-Madison, Mr. Aguayo left the DOJ to pursue a legal career and was hired to work in the Bureau of Consumer Protection at the Federal Trade Commission in Washington, D.C. Living in the nation’s political hub afforded him unparalleled opportunities. Within months, Mr. Aguayo was appointed as a Commissioner to the Latino Community Development Commission by Mayor Muriel Bowser of D.C. and served as a legislative intern in the Office of Congressman Pocan. 
 
Mr. Aguayo moved back to Madison in 2019, where he co-managed Kaleem Caire’s campaign for school board. After the elections he went on to serve as Executive Assistant in the Office of the Secretary at the state’s Department of Workforce Development. When the opportunity presented itself to join the Democratic Party of Wisconsin, Mr. Aguayo joined as Finance Manager. He would also hold the positions of Candidate Services Coordinator and Latino Outreach Director within DPW. When the Democratic Presidential Nominee was announced, Mr. Aguayo joined the Biden Presidential Campaign as State Director for Latino Coalitions.
 
From the heels of a Presidential Campaign, Mr. Aguayo turned his focus to the local community where he founded AGUAYO, LLC – a political consulting firm focused on candidates of color and those running for office for the first time. He currently heads the Greater Madison Chamber of Commerce’s political, policy and advocacy matters.

One City Schools has a strong foundation of active and engaged parents. Parent representatives who serve on One City's Board of Directors will have the opportunity to share an update with the Board on behalf of the One City parent-led Parent Council. 

 

Parent Board Members Ms. Toya Pedracine-Stewart and Dr. Wajiha Akhtar-Khaleel will present/lead the discussion, including a report on the first Parent Council meeting of the 2021-22 school year.
 
IV. Guest Presentation by Hamang Patel, Partner, Michael Best and Friedrich LLP 4:24 PM
 
To secure New Market Tax Credits for our current and forthcoming facility projects, One City Schools needs to create another entity to support the financing of our facilities renovation and construction. We will also form a new 501(c)(3) entity called "One City Foundation, Inc." that will work to raise funds for the work of One City Schools, Inc.. Mr. Hamang Patel, a partner and attorney at Michael Best and Friedrich LLP in Madison, will join our meeting to present information on our recently approved entity, One City Broadway, LLC , and the formation of the two new entities under the umbrella of One City Schools, Inc: One City Broadway South, LLC and One City Foundation, Inc.

 
 
  A. Vote on resolutions around the formation of One City Broadway, LLC, One City Broadway South, LLC and One City Foundation, Inc. Vote Hamang Patel and Noble Wray 60 m
   
The One City Schools, Inc. resolutions, among other things, authorize the resolutions and establishment of One City Broadway, LLC and One City Broadway South, LLC.

Mr. Patel will explain to board members the two exhibits to the One City Schools, Inc. resolutions: Exhibit A and Exhibit B. Exhibit A contains the organizational resolutions that previously established One City Broadway, LLC. Exhibit B contains the organizational resolutions for the new entity, One City Broadway South, LLC.

 
In addition, One City Schools, Inc.'s resolutions will authorize or adopt the documents listed below related to One City Schools Foundation, Inc.. 
  • Articles of Incorporation
  • Bylaws
  • Conflict of Interest Policy
  • Contributions Agreement between One City Schools, Inc. and One City Schools Foundation, Inc.
  • Administrative Services Agreement between One City Schools, Inc. and One City Schools Foundation, Inc.
The Bylaws and Conflict of Interest Policy of One City Schools Foundation, Inc. were based on the same documents for One City Schools, Inc.. For the One City Schools Foundation, Inc.'s bylaws, a few changes were made from the bylaws for One City Schools, Inc.. Board members will review these documents during the meeting.

Leah Lange of Numbers 4 Nonprofits has prepared One City's August 2021 financial statements.

One City Treasurer and Finance Committee Chair, Torrey Jaeckle will present the statements and provide a review of our current financial performance, with support from Ms. Lange. The Board will discuss and then vote to approve the financial statements.

  B. One City Student Enrollment Update for the 2021-22 School Year FYI M.Ruffin 7 m
   
We continue to strive for full enrollment for the 2021-22 school year. As of September 25th, a total of 230 students are enrolled in One City Elementary School. This compares to our budgeted plan of 278 students enrolled in OCES. We also have 98 students on the waitlist for 4K, 5K and first grade.

Additionally, we have 44 students enrolled in our 2-yeas-old and 3-year-old preschool classrooms. This brings our total enrollment at One City Schools to 274 children. We will share more details about our enrollment activities and how we have adjusted our budget to these enrollment numbers for the 2021-22 school year. 
 
 
  C. Staffing Updates FYI Gail Wiseman 5 m
   
Gail Wiseman will introduce One City's new VP of Government Relations, Ms. Fern Knepp.  Ms. Knepp's first day was September 13, 2021. She is currently spending her time getting to know the history of One City, the staff and other internal and external stakeholders. Ms. Knepp's initial responsibilities will included working with our CEO, staff, Board and partners to secure additional public funding for our schools, improve access to high quality PK12 education options in Wisconsin, establish a national model for positively transforming public education in America right here in Wisconsin, and strengthen the eco-system of PK12 education in Wisconsin. 

Ms. Knepp has worked as a coordinating staff attorney and leader at the Wisconsin Legislative Reference Bureau, where she wrote legislation and engaged in the creation and modification of K12 education laws and policies for the state legislature and public agencies. One City Secondary School Principal, Ms. Devon Davis, will update board members on the status of the development of One City Preparatory Academy (OCPA), our new grades 6 - 12 public charter school that will open in our new 1707 Broadway facility in fall 2022.
