There is no financial report this month as the school is in the midst of our audit.

Consultant and Application Support
- A consultant explained that work on the renewal application and merger review was actively underway.
- Documentation support was being coordinated with legal counsel and Next Generation Charter Schools, including material for the executive summary and merger structure.
- Board Authorization for Renewal and Merger Steps
- The board approved authorization to file the charter renewal application with the New York City Department of Education.
- The resolution also authorized school officers to execute related documents and continue due diligence connected to the proposed merger.
- The merger was described as a proposed strategic partnership effective July 1, 2027, pending required approvals.
Resolutions of the Border of Trustees of the Summit Academy Charter School at the general meeting on August 26, 2026.
Resolved that the Board of Trustees of Summit Academy Charter School authorizes and directs the school to file with the New York City Department of Education the charter renewal application with such amendments or modifications as may be advised by council and any member of the board jointly.
And has separately Authorized, resolved that each authorized officer is hereby further authorized and directed individually, and in the name of And on behalf of the school to take such actions and to execute and deliver any such directions. documents, certificates, undertakings, agreements or other instruments, including any supplements, amendments and additions to such documents, undertaking and agreements. The advice of council may be necessary in connection with the renewal application. Executive session resolutions. That is as per the New York open meetings law on a majority vote of its total membership, taken in an open meeting, pursuing to a motion identifying the general area or areas of the subject or subjects to be considered.
Public body may conduct an executive session. For the below below enumerated purposes, matters leading to the appointment, employment, promotion, demotion, discipline, suspensions or removal of particular person or corporation. System merge will eventually result in employment actions being taken. This is a proper reason for executive session.
Whereas that the board of trustees of Summit Academy Charter School has identified Next Generation Charter Schools as a proposed strategic partner, whereby the school would merge with and into Next Generation Charter Schools effective July 1, 2027. Whereas the board has received the basic term structure. The preliminary framework of the proposed transaction, whereas the board has determined that entering into preliminary negotiations, including negotiation and approval of a letter of intent to merge with Next Generation Charter Schools is advisable and in the best interest of the school.
Now therefore be it resolved that the board hereby approves in principle the school's proposed merger with Next Generation Charter Schools subject to the approval of the New York City Department of Education, Board of Trustees of the State University of New York. and the Board of Regions of the University of the State of New York.
Further resolved that the members of the board jointly or individually being authorized officers and each of them individually hereby is authorized and empowered to execute and deliver a nonbinding letter of intent or term sheet along with any necessary non disclosure agreements on behalf of the school. Further resolve that the authorized officers are authorized to. proceed with due diligence to communicate with the New York City Department of Education.
And governmental authorizers regarding the merger to negotiate the final definitive agreements and applications and submit such final agreements and applications to the board for ultimate approval as required by law
