K. Jones called a meeting of the Governance Committee of Wesley International Academy to order on Monday Jan 23, 2023 at 4:33 PM.

Approve Agenda

E. Cater made a motion to to add Review Bylaws and Board Recruitment to Agenda items.
D. Hrabe seconded the motion.
The committee VOTED unanimously to approve the motion.

Approve Minutes

K. Boyer made a motion to approve the minutes from November Governance Meeting on 11-14-22.
E. Cater seconded the motion.
The committee VOTED unanimously to approve the motion.

II. Governance

A.

Divisive Concepts Policy for WIA

Three examples of Divisive Concepts Policy for WIA.  The Policy drafted by WIA's counsel is a mixture of the APS Policy with additional language.  This Policy provides an extra step that is doubtful that anyone will take that approach.  Executive Director is suggesting the Policy drafted by WIA's counsel.  This Policy allows persons to go to WIA Board before going to APS.  This is similar to other policies for WIA.

K. Jones made a motion to present the Divisive Concepts Policy drafted by WIA's outside counsel to the WIA Board for approval.
D. Hrabe seconded the motion.
The committee VOTED unanimously to approve the motion.

Enrollment Data Discussion

Update on Enrollment Data Discussion.  WIA is trending better with new student applications.  There is a slight increase in applications.  Kindergarten is the focus for Apperson's discussion.  We have had a positive increase in the number of Kindergarten applications.  Leadership is encouraged by increase in Kindergarten applications.  WIA will be participating in two upcoming Kindergarten Expos.  WIA has also increased its social media presence.  WIA has conducted tours on every Wednesday.  The 2020 enrollment numbers would be a great number for WIA in 2023.  WIA Leadership feels that the collective effort is what is driving the positive trend.  Kudos to WIA Leadership Team for their efforts.  Special Board Meeting on March 1, 2023.

C.

Harassment Policy

WIA has a Harassment Policy in place.  WIA has a training coming up for staff members on March 20, 2023.  It is the goal of WIA that WIA staff members know how to report an issue dealing with harassment.  

III. Other Business

A.

Review of Bylaws

Discussion regarding review of Bylaws for attendance and Committee Appointments.  There was a suggestion that Chris can audit Board Member attendance.  Suggestion of having Board on Track Refresher.  Need to review attendance and Committee Appointments to make sure that all Board Members are meeting requirements.  Include this item under Governance Committee for Board Update (Kate).  This Committee will follow up with Board Members regarding attendance issues.  Also a discussion regarding a possible workshop for staying engage with WIA Board.  Agenda item for next board meeting:  Discussion for best practices for staying engaged as WIA Board Member (EWA).

 

KBJ and Mazie Lynn will review By Laws for attendance requirements by March Board Meeting.

B.

Recruitment of New Board Members

Need a plan for Recruitment of New Board Members.  Chip is rolling off the WIA Board.  Do we want to recruit another Board Member?  Max number of Board Members is 13.  Governance Committee is of the opinion that it is a good idea to recruit two potential new board members.  Discussion item for next Board Meeting for Board Members to help identify potential Board Members.
